THE PROGRAM & THE ACADEMY

Unforget Yourself LLC is engaged in the business of teaching, coaching & training services; and YOU desire to engage Unforget Yourself LLC to provide business and personal training services to YOU in the form of Internet Calls, Group Calls, Webinars, Audio and/or Visual Presentations, and periodic training and evaluation. NOW, THEREFORE, the Parties agree as follows:

SECTION 1: THE SPECIFICS

All payment and rate structures are mutually agreed upon in YOUR Zoom consultation meeting or on our sales pages for our agreement. These are outlined here along with the full deliverables.

1.1: The Deliverables:

Podcast Strategy & Creation

Install Systems & Automation

Advanced Skills & Training

Launch, Leverage & Optimize

Access to all training, call recordings, templates and relevant documents.

BONUS: Access to the Unforget Yourself Identity System (Our mindset & personal program).

Setup & Technical: Support & hands-on help to install the system with you.

Support Calls: Group Office Hours Calls: Two (2) calls a week via Zoom. Private Calls: One (1) call a week via Zoom (VIP Private Only).

Private Mentoring: Daily private support from Mark & Katie (Mon-Fri 9am-5pm EST for the duration of the engagement). Personalized sessions available, weekly progress, priority support, audits & reviews. One (1) private deep-dive onboarding call via Zoom for The Program clients.

1.2: The Program Engagement: Duration: Three (3) months (from the date of your onboarding call). The Academy Engagement: Duration: Rolling monthly unless paid for a year in advance.

1.3: The Program Investment Options: Group Coaching and VIP Private Client investments options are outlined on our sales pages.

SECTION 2: MEMBERSHIP & INVESTMENT

2.1: Programs: Under the terms of this Agreement, Unforget Yourself LLC agrees to provide business and personal training services to YOU in the form of Internet Calls, Group Calls, Webinars, Audio and/or Visual. Presentations, and periodic training and evaluation as defined exclusively by Us ("Program(s)") in exchange for a Program Fee. Progression between programs will occur only at your approval, and Program Fees will be determined according to paragraphs 2.2 below. Your access to such programs is made conditional on payment of such Program Fee.

2.1.2: Term: The Term of this Agreement will commence upon YOUR acceptance of this Agreement and payment of the applicable Program Fee. YOU agree and understand that upon commencement of the Term of this Agreement, you will become enrolled in the “Authority SystemTM program”. The term of training portal access is to be for a minimum of 1 year, with access to all updates and modules in all future variations of this program beyond the length of the current course agreement to also be determined by Unforget Yourself LLC. The Term of private coaching is to be as agreed upon during the YOUR sales consultation and as may be more particularly set forth or attached as a part of The Specifics.

2.1.3: Termination: Unforget Yourself LLC may terminate this Agreement at any time in its discretion upon notice to YOU, provided that, in the event that Unforget Yourself LLC terminates this Agreement other than due to a breach of this Agreement by YOU, Unforget Yourself LLC shall refund the Program Fees paid by YOU on a pro rata basis, calculated based solely on the unused portion of the coaching term, as outlined in Section 2.1.2 (Term) and Section 1 (The Specifics). This Agreement will otherwise continue in accordance with Section 2.1.2 (Term) unless terminated earlier in accordance with this provision, with such notice of termination will come via email. Section 4.1 (Confidentiality) below shall survive termination of this Agreement, binding YOU to confidentiality in perpetuity.

2.2: Program Fees: By accepting the terms of this Agreement, YOU agree and understand that you have already paid or committed to pay Unforget Yourself LLC as agreed upon during YOUR sales consultation and as may be more particularly set forth or attached as a part of Section 1 (The Specifics) for access to and use of the Authority SystemTM program and private coaching.

2.3: Recurring​ ​Payments: If YOU have signed up for a payment plan, YOU hereby authorize our continued access to YOUR financial information stored by Unforget Yourself LLC’s third party financial processing company until YOUR payment plan is complete, as set forth in Section 1 (The Specifics).

2.4: Refunds: Due to the non-returnable nature of digital products and live coaching once they have been attended, accessed or downloaded, Unforget Yourself LLC abides by a strict no-refund policy for the programs and coaching. By entering into the program, YOU agree and understand that you are permanently waiving the right to seek or claim any refund of the Program Fees paid. YOU further acknowledge, represent, warrant and agree that, by entering into the program, YOU are taking full responsibility for YOUR own success and therefore YOU will not request a refund.

2.5: Chargebacks: YOU agree not to request, advise, file a claim, or seek YOUR bank or credit card company for a chargeback for consideration paid under this Agreement. YOU agree to waive any rights YOU may have under applicable state and federal truth in lending laws or otherwise (including, but not limited to, under YOUR credit card issuer’s procedures for resolving such disputes). YOU agree that any disputes that YOU may have with respect to consideration paid hereunder must be addressed directly between YOU and Unforget Yourself LLC. If a chargeback occurs, YOU shall have materially breached the Agreement and shall forfeit all remaining services that have not yet been performed under the Agreement. Unforget Yourself LLC shall have no further obligation to YOU. Further, the amount of the chargeback shall be subject to a finance charge in the amount of one and one-half percent (1.5%) per month until paid in full by YOU. Further, Unforget Yourself LLC shall be entitled to recover from YOU all damages, and reasonable and necessary attorneys’ fees, and costs associated with pursuing collection and/or recovery of the amount of the chargeback.

2.6: Cancellation: You may cancel your access to the Authority SystemTM program at any time. Any requests for cancellation must be made via email to [email protected].

2.7: Authority SystemTM program description for YOU: By signing below you are of the understanding that your payment as outlined in The Specifics includes unlimited access by YOU to the Unforget Yourself LLC Program training portal for a minimum of 1 year. Coaching calls will be scheduled at a time deemed convenient by Unforget Yourself LLC between 8 AM and 9 PM in your local time zone.

SECTION 3: NO WARRANTIES

3.1: Success not Guaranteed: By accepting the terms of this Agreement, YOU agree and understand that Unforget Yourself LLC provides program(s) related to business and personal training only and guarantees no specific results. YOU take full responsibility for YOUR own success.

3.2: Limited Liability: In no event will Unforget Yourself LLC be liable to YOU or any party related to you for any damages, including damages for loss of business profits or other pecuniary loss, whether under a theory of contract, warranty, tort (including negligence) products liability or otherwise, even if Unforget Yourself LLC has been advised of the possibility of such damages. Limitations herein described shall be applied to the greatest extent enforceable under applicable law.

SECTION 4: CONFIDENTIALITY

4.1: Confidentiality: Only authorized users, who have duly obtained access to any programs offered by Unforget Yourself LLC by personally agreeing to the terms of this Agreement are permitted use and participate with such Programs. Except as expressly authorized by this Agreement, YOU shall not provide or make available any Documentation, Video, Audio, or any login member credentials to any third party, or use the Documentation, Video, Audio, or any login member credentials to teach any third party, or otherwise disclose or discuss information revealed in any portion of the Program(s) for any purpose other than exercising rights expressly granted to you by this Agreement. Be advised that course content is hosted on the domains ProfitablePodcasts.com UnforgetYourself.com and other training platforms. Upon multiple IP addresses accessing your account, we will be notified and may terminate access to your account. In the event that you will be using more than 2 IP addresses to access the training portal please advise Us.

4.2: Intellectual Property: YOU acknowledge that any Audio and/or Visual Presentations, Documentation, and other elements of our systems are the sole Intellectual Property of Unforget Yourself LLC under United States copyright, trademark and other intellectual property laws and international treaties. YOU further acknowledge and agree that as between YOU and Unforget Yourself LLC, and its third party licensors own and shall continue to own all right, title, and interest in and to the Audio and/or Visual Presentations, Documentation, and other elements of the our systems, including associated intellectual property rights under copyright, trade secret, patent, or trademark laws. Except for the limited, revocable license expressly granted to you herein, this Agreement does not grant you any ownership or other right or interest in or to the Audio and/or Visual Presentations, Documentation, and other elements of the systems, or any other intellectual property rights of Unforget Yourself LLC, whether by implication, estoppel, or otherwise. Any and all trademarks or service marks that Unforget Yourself LLC uses in connection with services rendered by Unforget Yourself LLC are marks owned by Unforget Yourself LLC. This Agreement does not grant you any right, license, or interest in such marks, and you shall not assert any right, license, or interest in such marks or any words or designs that are confusingly similar to such marks.

4.3: Media Release: YOU acknowledge that any training calls or testimonials supplied to us that YOU may be a part of may be recorded and used for additional training and marketing purposes. YOU acknowledge that you consent by signing below.

4.4: Non-Compete: YOU may use the information taught to you by Unforget Yourself LLC to further the growth of YOUR business, but you guarantee to not take the Intellectual Property of Unforget Yourself LLC and redistribute, recreate or resell it in any way as your own. Most specifically, this includes Unforget YourselfTM, the Unforget Yourself SystemTM, the nine steps, the three cycles, The Authority SystemTM, The Profitable Podcast SystemTM, Profitable PodcastsTM, Authentic Sales SystemTM the Magical Life MapTM, Pause PracticesTM, Moment MakersTM, Clarity CreatorsTM, One Shift AwayTM, and other tools created by Unforget Yourself LLC.

SECTION 5: MISCELLANEOUS

5.1: Non Transferability: The rights and obligations under this Agreement are personal to YOU. YOU may not assign or transfer any rights or obligations under this Agreement.

5.2: Indemnification: YOU will, at your own expense, defend, indemnify, and hold Unforget Yourself LLC, its agents, and employees harmless from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of or in connection with any use of the Program(s) of this Agreement.

5.3: Integration: This Agreement, along with any additional terms or policies incorporated herein by reference, represents the entire Agreement between YOU and Unforget Yourself LLC concerning the Program, and this Agreement supersedes and replaces any prior proposal, representation, or understanding YOU may have had with Unforget Yourself LLC relating to the Program, whether oral or written.

5.4: Amendment: Unforget Yourself LLC reserves the right, in its sole discretion, to amend this Agreement from time to time.

5.5: Governing law: This Agreement shall be governed by and interpreted in all respects in accordance with the laws of the United States of America and the State of Michigan. The venue for any dispute shall be in the County of Kent.

BY PURCHASING OR SIGNING UP ON OUR WEBSITE, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO ALL OF THE AFOREMENTIONED TERMS AND CONFIDENTIALITY.

THE SYSTEM & THE ACADEMY

Unforget Yourself LLC provides systems, tools, and technology infrastructure to clients via licensed access to HighLevel and custom-built automation and CRM snapshots; and WHEREAS, YOU desire to access and use these tools through a sub-account managed by Unforget Yourself LLC. You agree as follows:

SECTION 6: Service Description (The System Only)

You are being granted access to a dedicated HighLevel sub-account under our agency account, pre-loaded with our custom snapshot (known as the Profitable Podcast System™ or the Unforget Yourself Authority System™), including but not limited to:

- CRM and pipeline automations

- Pre-built workflows, emails, and templates

- Podcast management tools

- Booking calendars and lead tracking

- Surveys and application forms

- This setup is part of our proprietary intellectual property and is made available to support your use of our custom snapshot only.

Migration Notice: If you are transitioning from another HighLevel account (personal or agency-managed), we may offer optional migration support on a case-by-case basis. This service is not included in your subscription and is subject to separate scoping, pricing, and availability. Unforget Yourself LLC provides support only for systems, assets, and features included in our proprietary snapshot. Any support outside of this - including third-party setup, historical rebuilds, or legacy integrations - must be handled independently by the client or through an approved contractor under separate terms.

SECTION 7: Payment & Billing (The System Only)

The fee for this sub-account and ongoing access is listed on our sales pages. The subscription type selected will be confirmed upon checkout. Billing begins upon account activation and recurs either monthly or annually, depending on your selected plan.

Payment will be automatically processed via the card or method you provided unless cancelled per Section 4.

Usage-Based Costs: Your account is directly connected to our Stripe rebilling system. This means that usage-based services — including but not limited to Email, Dedicated IP, LC - Premium Triggers & Actions and Workflow AI, LC Email Verification, Content AI, GPT Action, Conversation and Voice AI, WhatsApp Conversation, Reviews AI, Domain Purchase, Auto-Complete Address, Funnel AI — will be billed automatically to your card on file. These charges are in addition to your standard subscription fee and are based on actual usage.

Example rates (subject to change by HighLevel or relevant third-party providers): Emails: $0.71 per 1,000 emails (LC Email), Webhooks: $0.0105 per execution, SMS/MMS billed per segment depending on country and carrier rates, Phone calls billed per minute, based on destination and call type. We reserve the right to update rates, apply fair usage thresholds, and adjust policies with prior notice. A small markup may be applied to offset Stripe transaction fees and associated administrative costs.

SECTION 8: Use & Access Terms (The System Only)

You are being granted non-transferable, non-exclusive, revocable access to this system.

All templates, workflows, and materials remain the intellectual property of Unforget Yourself LLC. You may not duplicate, resell, reverse-engineer, or repurpose any part of the system outside of your own business use.

You agree not to share login access with others outside your team or organization without written consent.

For clarity, support is limited to assets included in the Profitable Podcast System snapshot. We do not provide general HighLevel technical support, legacy system maintenance, or migration assistance unless explicitly scoped and billed separately.

SECTION 9: Cancellation & Termination

You may cancel at any time with a minimum of 30 days’ notice via email to: [email protected]

We reserve the right to suspend or revoke access if payments fail, terms are violated, or if we discontinue this service.

No partial refunds are issued for cancellation mid-billing cycle for monthly subscriptions. Annual subscriptions are non-refundable once activated, but you may cancel future renewals with 30 days’ notice prior to the renewal date.

If you are on a 10 day free trial, you may cancel at any time with a minimum of 24 hours notice prior to your billing date (10 days after signing up) via email to: [email protected]. If you do not cancel 24 hours prior to your billing date, your card will be charged and no refunds or partial refunds are issued for cancellation mid-billing cycle for monthly subscriptions. Annual subscriptions are non-refundable once activated, but you may cancel future renewals with 30 days’ notice prior to the renewal date.

SECTION 10: Disclaimer & Limitations

We make no guarantees regarding results from the use of this system. It is a tool to support your efforts, not a guaranteed outcome.

We are not liable for data loss, downtime, or performance issues caused by HighLevel or third-party integrations.

You are responsible for ensuring your own GDPR/CCPA compliance and data handling within the system.

SECTION 11: Legal & Confidentiality

You agree not to replicate, disclose, resell, or copy any part of our snapshot or system for external use. This Agreement is governed by the laws of the State of Michigan, USA. Any breach of this agreement may result in immediate termination of service and legal remedy.
